THESE PINX AMBASSADOR PROGRAM TERMS AND CONDITIONS ARE LAST UPDATED AND EFFECTIVE AS OF JUNE 14, 2026.

PINX Ambassador Program (“PINX Ambassador Program” or “Program”), operated by PINX Nails (“PINX Nails”) (collectively, “We”, “Us”, or “Our”), is open to eligible individuals who are 18 years of age or older at the time of registration subject to these Program Terms (“Program Terms” or “Terms”).

Void where prohibited.

Membership in the PINX Ambassador Program and its benefits are offered at the discretion of PINX Nails.

PINX Nails may, at any time, terminate, change, limit, modify or cancel the Program or any rules, regulations, benefits, or conditions of participation by posting the modified Terms on the Site.

Your continued participation in the Program after such posting will constitute your acceptance.

By participating in the Program, you hereby agree to these Terms, which may be updated from time to time by PINX Nails in its sole discretion, and that you meet the eligibility requirements.

THESE TERMS MAY AFFECT YOUR LEGAL RIGHTS. PLEASE READ THEM CAREFULLY.

ELIGIBILITY

The PINX Ambassador Program is open to eligible individuals who are eighteen (18) years of age or older at the time of registration subject to these Terms.

You must maintain a public Instagram Creator or Business account and/or TikTok account for the duration of your participation in the PINX Ambassador Program.

Your Instagram Creator or Business account may need to be linked to your Facebook account in order to be eligible for certain Program features.

You must maintain public social media accounts and your accounts must continue to be public for you to remain eligible and active in the Program.

By providing your public Instagram Creator or Business account and/or TikTok handle, you represent that you are the sole person with access to such account and that Your Content (defined herein) does not violate these Program Terms or any terms of the relevant social media platforms.

Only one Program account may be associated with a single email address.

In the event of a dispute over ownership of a membership account, the registration will be declared to have been made by the authorized account holder of the email address submitted at the time of enrollment.

For purposes of these Terms, the “authorized account holder” is the natural person who is assigned to the submitted email address by an internet provider, online service provider or other organization, including a business, educational institution, or other organization responsible for assigning email addresses for the domain associated with the submitted email address.

Your eligibility and continued participation in the Program is subject to Your compliance with these Terms as well as the PINX Nails Testimonial, Ethics, and Disclosure Guidelines (“Brand Guidelines”) attached and incorporated into these Terms and made available on the Site.

PINX Nails may, at any time, in its discretion, terminate your participation in the PINX Ambassador Program for any reason or no reason, including, without limitation, if you fail to meet our Brand Guidelines or are otherwise found to be in violation of our brand policies and these Terms.

By enrolling in the PINX Ambassador Program, you agree to provide true, accurate, current and complete information about yourself and maintain and promptly update the information to keep it true, accurate, current and complete.

If you provide any data that is untrue, inaccurate, not current or incomplete, or if PINX Nails, in its sole discretion, suspects that your registration data is untrue, inaccurate or incomplete or that you are in any way abusing your membership in the Program, or otherwise in violation of these Terms, PINX Nails reserves the right to suspend, terminate or refuse your participation.

You also agree that, as a public representative of the brand, you shall not, and PINX Nails may immediately revoke your participation in the Program if you: (i) commit any act which brings you into public disrepute, contempt, or ridicule, or which otherwise shocks, insults or offends a majority of the consuming public or any legally protected class or group and, in PINX Nails’ reasonable opinion, reflects materially unfavorably upon PINX Nails or substantially diminishes the value of your association with PINX Nails; or (ii) publicly make, or encourage others to make, disparaging statements about PINX Nails, PINX Nails products and services, and/or the beauty and nail industries.

For the avoidance of doubt, the above restrictions apply equally to comments made in person, in writing or on any social media platform.

WHERE TO ENROLL, EARN AND REDEEM PROGRAM REWARDS

Membership in the PINX Ambassador Program is made available through and offers may be redeemed only at the PINX Nails ambassador platform, application page, account portal, Shopify Collabs page, affiliate platform, or any other official Program page made available by PINX Nails from time to time (the “Site”).

Enrollment: To enroll, you must provide the required information requested on the Site account creation page and meet the eligibility requirements.

You must provide a link to your public Instagram and/or TikTok account.

Your enrollment may be confirmed with a welcome message at the email address provided which will include your Program enrollment information.

We reserve the right to conduct a review of the materials You post on any social media platform and any public data available about You.

This review involves Us looking at Your social media content and public profile to see if Your values match PINX Nails’ values and brand requirements.

We reserve the right at all times to require You to edit, take down, or otherwise remove Your Content in Our sole discretion.

You shall immediately modify, remove, or discontinue as We shall determine, in Our sole discretion, any content about Us, and any other references to Us upon Our notification to You.

Earning Points, Rewards, Benefits and Publishing Content: Members can earn points, rewards, commissions or other benefits by participating in challenges, missions, activities, content requirements, affiliate activities, ambassador levels, product campaigns, and other actions made available to you on the Site (“Point or Benefit Activities”).

Points, rewards, commissions or other applicable benefits will be deposited into or made available in your account on the Site subject to the instructions specific to each Point or Benefit Activity available to Members on the Site (“Activity Instructions”) and subject to PINX Nails’ review and approval of Point or Benefit Activity completion.

For any Point or Benefit Activities that require members to publish content on social media accounts or other sites, or for any content that members choose to publish in relation to free products, gifted products, PR boxes, ambassador packages, commission opportunities or other Program benefits received through the Program (“Your Content”), member hereby represents and warrants that: (i) the person appearing in Your Content is You, and that no other person is appearing or featured in Your Content unless you have obtained all required rights and permissions; (ii) all contents/elements of Your Content is original to You, and You own all the rights in Your Content, or, if You do not own any element(s) of Your Content, You have a license and/or have otherwise obtained all necessary rights to use all material and contents/elements in Your Content that are the subject of third-party rights, including all intellectual property rights, and You have the right to sublicense these rights to Us; (iii) Your Content, and the contents/elements contained therein, does not violate any law; (iv) You are not limited or restricted in granting any right granted herein by any obligation to any other person, firm or corporation and You have not entered into, and shall not enter into, any agreement that would interfere with the rights and obligations granted in these Program Terms; (v) Your Content shall be in compliance with applicable endorsement, testimonial, influencer, advertising and disclosure requirements, including clearly and conspicuously disclosing Your material connection to Us, and You shall follow any and all additional guidelines that may be provided by PINX Nails; (vi) Your Content only contains your honest and truthful opinions about Our products and brand, and You will not endorse products that You have not used; (vii) Your Content will show the actual product You are endorsing in Your Content; (viii) You will only make truthful statements that are not misleading about the performance and attributes of Our products, and You will not use any products, digital filters, editing tools or effects that might enhance or misrepresent the appearance of how Our products perform, including but not limited to nail filters, skin-smoothing filters, artificial enhancements or misleading before-and-after results; (ix) if You have received a product sample, gifted product, PR box, commission, payment, discount, incentive or other benefit, You will verbally and visually disclose that receipt of that benefit from Us, including with “Gifted by PINX Nails”, “PINX Ambassador”, “Paid partnership with PINX Nails”, “I received this product from PINX Nails”, “I earn commission from PINX Nails”, “Ad”, “Sponsored”, or as otherwise directed by Us; (x) You will not mention any competing products or any retailers in Your Content unless approved by Us; (xi) You will not use artificial intelligence, including generative artificial intelligence, to produce Your Content unless preapproved by Us; and (xii) Your Content shall not contain any disparaging remarks about PINX Nails or our competitors and shall not be hateful, intolerant, inappropriate, unlawful, unsafe, misleading, or reference any illegal drugs.

We reserve the right to withhold points, rewards, commissions, payments or benefits relating to any Point or Benefit Activities if a Member does not follow Activity Instructions or violates these Terms.

We also reserve the right to request that you remove Your Content that violates these Terms or otherwise fails to follow Activity Instructions.

If you receive such a request, you will remove Your Content as soon as possible.

PINX Ambassador Program points, rewards, benefits or offers can be redeemed for items, products, discounts, rewards, gifts, ambassador perks or other benefits available in the catalog or Program area available on the Site.

PINX Nails reserves the right to discontinue any aspects of the Program or change the number of points, rewards, benefits, commissions or offers awarded for Point or Benefit Activities at any time during the Program.

Points, rewards, commissions, gifted products, benefits and Drops may vary in value.

Points or rewards may expire after a rolling 12-month period or as otherwise stated by PINX Nails.

After 12 months from the earn date, if there has not been any Point or Benefit Activity, the points may expire and cannot be re-used, transferred, refunded, or redeemed for cash except where required by law.

Rewards offers, points and Program benefits have no cash value, are not legal tender, and do not give rise to any property or other interest whatsoever.

Members must have sufficient account point balance or meet the relevant eligibility requirements to redeem Program offers, points, rewards or benefits.

Rewards may be combined with other discounts and promotions but may not be combined when that limitation is expressly stated in the other discount or promotion.

Member account point balances, rewards, benefits or offers cannot be combined with cash or with another member’s account points, rewards, benefits or offers to obtain an offer or benefit.

We reserve the right to limit the quantities of offers, points, rewards or benefits redeemed by a single member in a given time period.

Offers, points, rewards and benefits can only be used by the member to which the account belongs.

When you redeem points or claim a reward, the requisite number of points or applicable requirement will be stated at the time you claim your item and subtracted from your points balance or marked as redeemed.

As part of the Program, PINX Nails may also offer the ability for Members to claim a product, PR box, gift, reward or other item on a first come, first served basis without redeeming any points (each a “Drop”).

Drops may only be claimed one time per Member, while supplies last, and only during the available timeframe stated in connection with each Drop.

All point redemptions, reward redemptions and Drop claims are final.

Products may not be returned, exchanged, and points shall not be refunded for any reason following redemption.

Products are for Your personal use and content creation only and may not be offered for sale by You through any means.

PINX Nails may offer limited time offers or may make promotional offers selectively available to members, based on Point or Benefit Activity, purchase activity, geographic location, program participation, ambassador level, content performance, referral activity, sales activity or other factors.

From time to time, We may also provide members with an opportunity to earn additional offers, points, commissions, rewards or benefits through participation in Site activities, features, member-only exclusives, affiliate activity, campaign activities, product launches, seasonal boxes or other Program activations.

In an effort to be always transparent with our members and the public at large, we remind you that whenever you earn account spend credit, points, commissions, rewards, receive products or other incentives for participation in the Program, you must use appropriate words of disclosure, such as “I am a PINX Ambassador,” “I received product from PINX Nails,” “Gifted by PINX Nails,” “I earn commission from PINX Nails,” “Paid partnership with PINX Nails,” “Ad,” “Sponsored,” or similar words to indicate that you received value from the Program, and such disclosure must be made clearly and conspicuously for the viewer of Your Content.

Failure to meet the disclosure requirements set forth in any Points Activities or Program Activities shall mean that the requirements of the Points Activities or Program Activities have not been met, and PINX Nails reserves the right to award zero points, withhold benefits, withhold commissions, reject content, or terminate participation.

If a member fails to meet the disclosure requirements, We may terminate the member from the Program.

We reserve the right, without limitation, to terminate, change, limit, modify or cancel any of the above benefits or means of earning, with or without notice.

Unless otherwise stated, member points, rewards, commissions or Program benefits will be accessible by logging on to your account on the Site or applicable Program platform.

Program offers, commissions, rewards and points will mature after verification by PINX Nails after qualifying Point and/ or Benefit Activities.

NOTICE OF FINANCIAL INCENTIVE

In connection with the Program, we may offer financial incentives, rewards, commissions, discounts, gifts, product benefits and/or price or service differences (“Incentives”) to Program members based on points, rewards, referrals, content activities, sales, commissions or other Program participation as further described in these Terms and our Privacy Policy, in exchange for our use of your personal information.

To offer these Incentives, we must track the personal information you provide when you sign up, including through automatic enrollment where relevant, or otherwise engage in activities to earn rewards, such as Points or Benefits Activity, purchase history, social media handles, shipping information, payment information, participation in events, referral activity, commission activity, content submissions, and engagement with PINX Nails as described in these Terms.

The value of Program Data may be calculated by determining the approximate value of Program participation, content activity, referral activity, purchases, ambassador engagement, sales, product benefits, commissions, and other Program activity compared to individuals who are not yet enrolled in the Program.

The value of Program Data is reasonably related to the costs associated with offering the Incentives.

You can join the Program through the Site, and you can withdraw from or cancel your membership at any time by contacting Customer Support through the Site or by emailing support@pinxnails.com.

PRIVACY

Enrollment information, including any information you optionally provide in connection with the Program, and other information about you associated with the Program is subject to our Privacy Policy.

GENERAL PROGRAM CONDITIONS AND EXCLUSIONS

Program points, rewards, commissions and offers cannot be redeemed for cash at any time unless required by law and have no cash value.

Points, rewards, benefits or offers earned through the Program are not valid for use towards the purchase of any PINX Nails products, gift cards or e-gift cards, charitable items, promotional value sets, sales tax or shipping charges or combined with any other promotions, coupons or program discounts, whether on the Site, pinxnails.com, or any other retailers, unless expressly stated by PINX Nails.

Rewards Offers may not be applied to previous purchases or redemptions.

Program points have no cash value.

Redemption offers, including Drops, are time-limited or available only in limited quantities.

Member points balances, rewards, benefits and offers may not be combined with another member’s account spend balance, transferred or sold.

Member points balances have no cash value and cannot be redeemed for cash at any time.

Member points balances have no purpose or use other than in exchange for benefits, products or services offered by PINX Nails through this Program.

Member point balances, rewards, benefits, commissions and Program status are not valid unless earned in strict compliance with the requirements set forth and intended by PINX Nails, and member shall not attempt to earn points, rewards, commissions, benefits or Program status by any means, including without limitation, by using any script, bot, data mine, fake account, false purchase, self referral, automated means or other method that only simulates applicable requirements.

In the case of a dispute regarding the points balance, rewards, commissions, benefits or Program status available to any member, Our decision will be final.

Upon termination of membership for any reason, all points, rewards, unpaid benefits, pending benefits and Program status may be forfeited and We will not provide cash equivalent for rewards or account spend balances unless required by law.

By creating an account or otherwise enrolling in the PINX Ambassador Program, you agree not to (a) take any action or (b) upload, post, submit or otherwise distribute or facilitate distribution of any user content, including text, communications, software, photographs, videos, sound recordings, data or other information, using any communications service, discussion forum, social media account, Program platform or other feature available on or through the Program, in any manner, that is unlawful, deceptive, misleading, fraudulent, threatening, abusive, harassing, libelous, invasive of another's privacy, tortious, obscene, profane, infringes on any patent, trademark, trade secret, copyright, right of publicity, right of privacy, any other right of any party or which otherwise violates these Program Terms, or any other agreement.

You further agree not to upload (a) any content that imposes an unreasonable or disproportionately large load on Site computing, storage or communications infrastructure, or attempts to gain unauthorized access to the Service, other accounts, computer systems or networks connected to the Service, through password mining or otherwise; (b) contains software viruses or any other computer codes, files, or programs that are designed or intended to disrupt, damage, limit or interfere with the proper function of any software, hardware or network system or to damage or obtain unauthorized access to any system, data or other information of PINX Nails, or any third party; (c) creates Member accounts by any automated means or under false pretenses or impersonates any person or entity, including an employee or representative of Us; (d) harvests, scrapes or collects any information from the Site.

We are not responsible for requests or correspondence lost or delayed in the mail, email, direct messages, platform messages, online forms, or any third-party system.

PINX Nails, its subsidiaries, affiliate entities, officers, directors, employees, contractors, agencies, service providers and agents (the “Released Parties”) make no warranty, express or implied, including, but not limited to, any warranties of merchantability or fitness for a particular purpose with respect to the Program, any offers, points, commissions, rewards, products or benefits offered through the Program, or membership in the Program.

By participating in the Program, each member hereby releases the Released Parties from and against any and all claims, damages, losses, liabilities and other expenses, including, without limitation, attorney’s fees, relating to that member’s participation in the Program, use of member points balance, use of rewards, use of products, use of benefits, commission activity, content activity, or agreement to these Terms.

PINX Nails is not responsible for problems related to any of the equipment or programming associated with or utilized by the member; any human error; any interruption, deletion, omission, defect or failure of any network or electronic transmission for whatever reason.

This Program and these Terms will be governed by and construed under the substantive laws of Queensland, Australia, without reference to conflict-of-laws considerations.

COMMUNICATIONS AND REVIEWING YOUR ACCOUNT INFORMATION

As a member of the PINX Ambassador Program, you will periodically receive emails from Us or our third-party service provider managing the Program.

You may opt-out of marketing emails at any time, but transaction or relationship emails will still be sent to you as it relates to your membership in the PINX Ambassador Program or your redemptions through the Site.

Examples of these are: the Program welcome email, point or Drop redemption confirmation, shipping confirmation or status emails, commission updates, content reminders, campaign updates, payment notices, or other communications that help us to ensure that your account is monitored.

LIMITATION ON LIABILITY

UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL PINX NAILS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, AND THEIR PROMOTION AGENCIES (“RELEASED PARTIES”) BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE PROGRAM OR MERCHANDISE OFFERED THROUGH THE PROGRAM, EVEN IF ANY OR ALL OF THE FOREGOING OR ANY OF THEIR AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IF PINX NAILS IMPROPERLY DENIES A MEMBER ANY POINTS, REWARDS, COMMISSIONS OR BENEFITS, LIABILITY WILL BE LIMITED TO THE EQUIVALENT NUMBER OF POINTS, REWARDS, COMMISSIONS OR BENEFITS WHERE PERMITTED BY LAW.

BY PARTICIPATING IN THE PROGRAM, A MEMBER WAIVES ANY AND ALL RIGHTS TO BRING ANY CLAIM OR ACTION RELATED TO SUCH MATTERS IN ANY FORUM BEYOND ONE YEAR AFTER THE FIRST OCCURRENCE OF THE KIND OF ACT, EVENT, CONDITION OR OMISSION UPON WHICH THE CLAIM OR ACTION IS BASED, WHERE PERMITTED BY LAW.

By participating in the Program, each member hereby releases the Released Parties from and against any and all claims, damages, losses, liabilities and other expenses, including, without limitation, attorney’s fees, relating to that member’s participation in the Program, use of points or rewards or agreement to these Program Terms.

We are not responsible for requests or correspondence lost or delayed in the mail, email, direct messages, platform messages, online forms, or any third-party system.

DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT ALLOWABLE BY LAW, THE RELEASED PARTIES SPECIFICALLY DISCLAIM ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PROGRAM OR MEMBERSHIP IN THE PROGRAM, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless PINX Nails and its parents, affiliates, subsidiaries, officers, directors, employees, business partners, contractors, agents, successors, and assigns from and against any and all third-party claims, damages, obligations, losses, liabilities, costs, or debt, and expenses, including but not limited to reasonable attorney’s fees and costs, arising from: (i) your breach of any of your representations and/or warranties under these Program Terms; (ii) actions or omissions by you not authorized or requested by Us; (iii) your use of third-party products or content in performing your obligations under these Program Terms; and (iv) any negligence or willful misconduct by you.

DISPUTE RESOLUTION

Mindful of the high cost of legal disputes, not only in dollars but also in time and energy, both you and PINX Nails agree that any controversy, claim, action, or dispute between you and PINX Nails, its affiliated companies and their respective officers, directors, employees, agents or contractors arising from or relating to the PINX Ambassador Program (“Dispute”), will first be attempted to be resolved by this dispute resolution procedure (“Dispute Resolution Procedure”).

Informal Dispute Resolution.

Prior to initiating any legal proceeding, you must first present any Dispute to PINX Nails by contacting PINX Nails Customer Support at support@pinxnails.com to allow for an opportunity to resolve the Dispute.

You or we may initiate legal proceedings if your Dispute cannot be resolved within 60 days.

Both you and PINX Nails agree that this dispute resolution procedure is a condition precedent which must be satisfied prior to filing any claim against the other party, except where urgent injunctive or equitable relief is required.

Right to Bring Small Claims in Court.

Where available and permitted by law, either you or PINX Nails may bring any individual claim in a small claims court or tribunal consistent with the jurisdictional and dollar limits that may apply, as long as it is brought and maintained as an individual claim.

Other Terms.

This Dispute Resolution Procedure shall be governed by, and interpreted, construed and enforced in accordance with the laws of Queensland, Australia, where applicable.

The terms of the Dispute Resolution provisions shall survive after your relationship with PINX Nails and/or participation in the Program ends.

Any dispute resolution communications will be confidential, and neither you nor we may disclose the existence, content or results of such process, except as may be required by law or for purposes of enforcement.

Except as set forth above, if any portion of this Dispute Resolution Procedure is deemed invalid or unenforceable, it will not invalidate the remaining portions of the Dispute Resolution Procedure.

PINX NAILS TESTIMONIAL ETHICS AND DISCLOSURE GUIDELINES

In keeping with applicable requirements for endorsements and testimonials and PINX Nails’ commitment to ethics, consumer trust, and respect, we are providing you with the following guidelines.

Please remember, any communication that relates to PINX Nails, its brand, products or services must be truthful, respect the privacy and intellectual property rights of others, and at all times be respectful in message and tone.

If a testimonial does not comply with these guidelines or is deemed offensive or inconsistent with PINX Nails’ brand values, PINX Nails may ask for its removal.

If you share a testimonial, review, comment, photo, video, message about PINX Nails or its products, it should be truthful and honest, and based on your actual experience with the brand, product or service.

Please do not make misleading statements, exaggerate claims or disparage competitors or anyone in your testimonial.

Everyone, including influencers, creators, ambassadors, consumers, agents, contractors, vendors or employees, who receives anything of value from PINX Nails in exchange for a testimonial must use one of the following disclosures at the beginning, above the fold where applicable, of the copy, caption, video, or other medium on which the message appears:

I am a PINX Ambassador

I received product from PINX Nails

I partnered with PINX Nails to review this product

I earn commission from PINX Nails

Paid partnership with PINX Nails

If your post is an entry to a contest, giveaway or promotion, use disclosure wording such as #PINXContestEntry, #PINXGiveawayEntry, #PINXSweepstakesEntry, or other wording provided by PINX Nails.

For video, at the beginning of the video use both audio voiceover disclosure such as “I am partnering with PINX Nails to bring you this video” or “I received this free product from PINX Nails” and include an on-screen disclosure such as “Gifted by PINX Nails” in an easy to read, contrasting font.

Ensure you maintain this on-screen disclosure where required and ensure the disclosure is clear and conspicuous to viewers.

If there are character restrictions, use #PINXPartner, #PINXAmbassador, #Ad or, if relevant, #GiftedbyPINX, including as a text overlay on any product videos.

Include disclosures in each post that mentions the brand at the beginning, on top of, or next to the testimonial.

Do not bury it in hashtags or include it only after the “read more”.
